Four Steps to Valuing, Structuring, and Consummating the Deal

Phase One: Preparation

No great deal was ever executed without painstaking preparation.

We build a team for each client. A team that will gain a complete understanding of all of the client's objectives.

We then identify, compile, and analyze all pertinent information.

Then, we prepare a completely confidential “Executive Summary” and a detailed “Business Profile” that includes a tailored pricing strategy, re-casted financial statements, a business overview, and a description of strengths and opportunities that exist for the company.

Phase Two: Presentation and Marketing

In Phase Two, we identify all qualified national and international buyers.

We transmit a blind version of our “Executive Summary” to potential buyer key executives and the Executive Summary is listed on the “M&A Source” Internet site. The M&A Source is a national alliance of middle market M&A consulting companies. This provides our client's business additional online exposure to financial and strategic buyers. All of this is done with complete confidentiality.

After our efforts to develop the interest and screen potential buyers, we engage Confidentiality Agreements and present the full “Business Profile” to selected buyers.

Phase Three: Negotiation

In Phase Three, all of our careful efforts begin to reap rewards.

We develop offers, and then move promptly to isolate and respond to all buyer objections. Our expertise in healthcare acquisitions, finance, and operations is invaluable during this critical stage.

We analyze and negotiate all pertinent issues, financial and non-financial, including price, terms, timing, and structure of the proposed deal.

Phase Four: Legal Review and “Due Diligence”

As the proposed deal moves to a successful conclusion, we professionally assist in the organization of the entire “due diligence” process.

We protect the seller's LOI value, facilitate legal communications, and obtain closure on all business “open items.”

The result is a Definitive Purchase Agreement followed by a smooth, no-problems closing.
